1. Introduction

Welcome to FinanceSavvy Kenya. These Terms of Use ("Terms") govern your access to and use of the FinanceSavvy Kenya website and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy.

Please read these Terms carefully before using our Services. If you do not agree to these Terms, you must not access or use our Services.

In these Terms, the following definitions apply:

  • "We," "us," "our," and "FinanceSavvy Kenya" refer to FinanceSavvy Kenya, a company registered in Kenya.

  • Pay all applicable fees as specified at the time of enrollment
  • Comply with all course requirements and guidelines
  • Complete required assignments and assessments as instructed
  • Participate in a respectful and constructive manner

4.3 Payments and Refunds

All payments for our courses and services are subject to the following terms:

  • Fees must be paid in full before accessing course materials unless a payment plan has been arranged
  • All prices are in Kenyan Shillings (KES) unless otherwise specified
  • We accept payment through the methods specified on our website
  • Refunds are subject to our refund policy, which is available upon request

5. Intellectual Property

5.1 Our Intellectual Property

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, software, and the compilation thereof, are owned by FinanceSavvy Kenya, our licensors, or other providers of such material and are protected by Kenyan and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

5.2 Limited License

We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use our Services for your personal, non-commercial use. This license does not include:

  • The right to reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services, except as expressly permitted
  • The right to use any data mining, robots, or similar data gathering or extraction methods
  • The right to access or use our Services for any commercial purposes
  • Any rights not expressly granted to you

5.3 Trademarks

The FinanceSavvy Kenya name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of FinanceSavvy Kenya or its affiliates. You may not use such marks without our prior written permission.

5.4 User Content

By submitting, posting, or displaying User Content on or through our Services, you grant us a non-exclusive, royalty-free, worldwide, fully paid, and sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such User Content in connection with providing and promoting our Services.

You represent and warrant that you own or have the necessary rights to submit the User Content and that the User Content does not violate any third party's rights or applicable laws.

6. Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

  • Violating any applicable law, regulation, or these Terms
  • Using our Services for any illegal or unauthorized purpose
  • Impersonating any person or entity or falsely stating or misrepresenting your affiliation with a person or entity
  • Interfering with or disrupting our Services or servers or networks connected to our Services
  • Attempting to gain unauthorized access to any part of our Services, other accounts, computer systems, or networks connected to our Services
  • Harvesting or collecting email addresses or other contact information of other users from our Services
  • Posting or transmitting any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
  • Uploading or transmitting viruses, worms, or any other malicious code that may harm our Services or other users
  • Engaging in any activity that could disable, overburden, damage, or impair our Services
  • Using our Services in any manner that could interfere with other users' enjoyment of our Services

YOUR USE OF OUR SERVICES IS AT YOUR SOLE RISK. OUR SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY LAW, FINANCESAVVY KENYA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

FINANCESAVVY KENYA DOES NOT WARRANT THAT:

  • OUR SERVICES WILL MEET YOUR REQUIREMENTS
  • OUR SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
  • THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF OUR SERVICES WILL BE ACCURATE OR RELIABLE
  • THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH OUR SERVICES WILL MEET YOUR EXPECTATIONS
  • ANY ERRORS IN OUR SERVICES WILL BE CORRECTED

  • YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE OUR SERVICES
  • ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON OUR SERVICES
  • ANY CONTENT OBTAINED FROM OUR SERVICES
  • UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF OUR SERVICES EXCEED THE AMOUNT PAID BY YOU TO FINANCESAVVY KENYA DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

THE LIMITATIONS OF THIS SECTION SHALL APPLY REGARDLESS OF WHETHER THE LIABILITY ARISES FROM BREACH OF CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT FINANCESAVVY KENYA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. Indemnification

You agree to defend, indemnify, and hold harmless FinanceSavvy Kenya, its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms
  • Your User Content
  • Your use of our Services
  • Your violation of any rights of another

11. Changes to Terms

We may revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of our Services thereafter.

Your continued use of our Services following the posting of revised Terms means that you accept and agree to the changes. You are expected to check this page frequently so you are aware of any changes, as they are binding on you.

12. Termination

We may terminate or suspend your access to all or part of our Services, without notice, for any conduct that we, in our sole discretion, believe violates these Terms or is harmful to other users of our Services, us, or third parties, or for any other reason.

Upon termination, your right to use our Services will immediately cease, and you must cease all use of our Services and delete any materials obtained from our Services.

All provisions of these Terms that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of Kenya, without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action, or proceeding arising out of or related to these Terms or our Services shall be instituted exclusively in the courts of Kenya, and you irrevocably submit to the personal jurisdiction of such courts in any such suit, action, or proceeding.

14. Dispute Resolution

Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration under the rules of the Nairobi Centre for International Arbitration, which rules are deemed to be incorporated by reference into this clause.

The number of arbitrators shall be one. The seat, or legal place, of arbitration shall be Nairobi, Kenya. The language to be used in the arbitral proceedings shall be English.

15. Waiver and Severability

No waiver by FinanceSavvy Kenya of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of FinanceSavvy Kenya to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

16. Entire Agreement

These Terms, our Privacy Policy, and any other agreements expressly incorporated by reference herein constitute the sole and entire agreement between you and FinanceSavvy Kenya regarding our Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding our Services.
